Terms and Conditions

Welcome to the S2 Suite ("the Tool") provided by UN Global Compact Network Malaysia, Brunei & Cambodia ("UNGCMBC"). By accessing and using the Tool, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. Your use of the Tool is conditional on your acceptance of these Terms. If you do not agree with any part of these Terms and Conditions, please do not use the Tool. You are required to register and authorise the use and disclosure of your information for purposes of allowing us to grant you access to the Tool. Please note that the provision of your personal data is voluntary and you unconditionally and unequivocally agree that we may retain your personal data for a period of time to be determined by us.

1. Ownership and License

1.1 The Tool, including all associated intellectual property rights, is owned and operated by UNGCMBC.

1.2.1 You acknowledge and agree that UNGCMBC and relevant third parties own all intellectual property rights and other proprietary rights in or associated with the Tool, its system, and any part thereof, including its content, design, software, and underlying technology.

1.2.2 You undertake that you shall not, at any time or in any manner, question or dispute the ownership of these rights by UNGCMBC and/or the relevant third parties.

1.2.3 You acknowledge that any infringement of these intellectual property or proprietary rights may result in substantial damage and/or loss to UNGCMBC, and you understand that civil and criminal penalties may be incurred for such infringement.

1.3 UNGCMBC grants you a limited, non-exclusive, non-transferable, non-sub-licensable license to access and use the Tool for the purpose of preparing, managing, and benchmarking your organisation's IFRS S2 and National Sustainability Reporting Framework (NSRF) climate-related disclosures, through the tools made available within the Suite.

1.4 You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Tool without the prior written consent of UNGCMBC.

2. User Conduct and Prohibited Uses

2.1 You agree to use the Tool solely for its intended purpose of preparing, managing, and benchmarking climate-related disclosure materials.

2.2 You shall not use the Tool for any unlawful, fraudulent, or malicious purpose, or in any manner that could damage, disable, overburden, or impair the Tool, or interfere with any other party's use of the Tool.

2.3 You are prohibited from uploading, transmitting, or otherwise disseminating any content that is harmful, offensive, defamatory, infringing upon intellectual property rights, or contains viruses or other malicious code.

2.4 You shall not attempt to gain unauthorised access to any part of the Tool, other users' accounts, or related systems or networks.

2.5 You shall not disclose or permit the disclosure of any username or password to any third party. You remain fully responsible and liable for all actions undertaken through your account. You shall ensure full compliance with all applicable local, state, provincial, national, and international laws, regulations, and treaties governing the use of the Tool, including but not limited to those relating to data protection, privacy, cross-border communications, and the handling or transmission of technical or personal data.

2.6 You shall use reasonable efforts to assist UNGCMBC in investigating and resolving any claim, action, proceeding, or litigation arising from alleged unauthorized access, use, processing, or disclosure of personal information. In particular, you shall: (a) scan all devices used to access the Tool for malicious code using industry-standard detection tools and promptly rectify any identified deficiencies; (b) maintain security of your computing environment in accordance with generally accepted industry practices; (c) immediately notify us of any unauthorized use of any password or account, or any actual or suspected breach of security; and (d) refrain from impersonating any individual or providing false identification information.

2.7 Without prejudice to any other rights or remedies, we reserve the right to immediately suspend or remove any account that is, or is reasonably suspected to be, in breach of clause 2.6 above.

3. Data Collection and Privacy

3.1 By using the Tool, you acknowledge and agree that the information you enter, including but not limited to your company details, materiality assessments, governance information, physical and transition risk entries, opportunity assessments, GHG emissions data, metrics and targets, and financial impact entries, will be collected and stored by UNGCMBC for the purpose of enabling your organisation to use the Tool, including saving and resuming your work across sessions.

3.2 UNGCMBC does not sell, rent, or share your organisation's individual, identifiable responses with any third party for marketing, advertising, or promotional purposes. UNGCMBC does not use your data for behavioural advertising and does not share it with business partners to offer products, services, or promotions.

3.3 UNGCMBC may compile and use aggregated and/or anonymised statistics derived from usage of the Tool across multiple organisations, for example the proportion of companies at a given readiness level, or commonly identified data gaps, for purposes including reporting to funders or stakeholders, internal research, and improving the Tool. Such aggregated statistics will not identify your organisation.

3.4 UNGCMBC will take reasonable measures designed to maintain the confidentiality and security of data collected. Notwithstanding these efforts, by accessing and/or using the Tool you are deemed to accept that the transmission of data over the internet or any form of electronic storage system is not completely invulnerable to breach or security compromise. Consequently, UNGCMBC shall bear no liability, whether direct, indirect, special, consequential, punitive or incidental, arising out of or in relation to any unauthorised access, disclosure, alteration, loss, damage or misuse of data, except where such liability cannot be excluded under applicable law.

3.5 Account Security

3.5.1 You are solely responsible for maintaining the confidentiality of your login credentials, including your username and password, and for all activities that occur under your account.

3.5.2 You agree to notify UNGCMBC immediately of any unauthorised use of your account or any other breach of security.

3.5.3 UNGCMBC shall not be liable for any loss or damage that may arise if you do not comply with this account security obligation.

3.6 Data Retention

3.6.1 Upon request or account termination, UNGCMBC may retain or process the deletion of your data in accordance with applicable data protection laws (including the Personal Data Protection Act 2010 of Malaysia, where applicable) and its internal procedures, unless legal obligations require continued retention.

3.6.2 You acknowledge and agree that if UNGCMBC has reasonable grounds to believe that disclosure of your personal data is necessary to comply with any legal obligation, request, or order from a legal, regulatory, governmental, tax, or law enforcement authority, UNGCMBC has the right to disclose your personal data to such authorities to the extent required. You agree not to take any action against UNGCMBC for such disclosure, to the extent permissible by applicable law.

3.6.3 If UNGCMBC is involved in a merger, acquisition, or asset sale, your personal data may be transferred. UNGCMBC will provide notice before your personal data becomes subject to a different privacy policy as a result.

3.7 Exported and Downloaded Content

3.7.1 The Tool allows you to export your data and generate reports or summaries, including as CSV files and in PDF form, for your own use.

3.7.2 Once any such file has been downloaded, saved, printed, or shared outside the Tool, UNGCMBC has no ability to control its onward distribution, storage, or use, and bears no responsibility for what happens to it after export.

4. Accuracy of Information

4.1 You are responsible for providing accurate and complete information across all tools within the Suite, including materiality, governance, physical and transition risk, opportunities, GHG, metrics and targets, and financial impact entries. UNGCMBC shall not be liable for any inaccuracies, omissions, or consequences resulting from inaccurate or incomplete information you provide.

4.2 You acknowledge that any readiness indicators, priority actions, generated summaries or reports, and all other outputs of the Tool are based entirely on the information you provide or the source data made available within the Tool. These outputs measure structural completeness or comparative positioning only, and do not verify, audit, or provide assurance over the accuracy, completeness, or quality of your climate disclosure. A given score or output does not itself confirm or guarantee compliance with IFRS S2, the NSRF, or any other applicable law, regulation, or listing requirement.

5. Disclaimer of Warranties

5.1 The Tool is provided on an "as-is" and "as-available" basis, without any warranties or representations, express or implied, and any use of or reliance on the Tool shall be at your sole risk.

5.2 UNGCMBC does not warrant that the Tool will be error-free, uninterrupted, or free from viruses or other harmful components.

5.3 UNGCMBC disclaims any and all warranties, including but not limited to the accuracy, reliability, completeness, merchantability, or fitness for a particular purpose of the Tool.

5.4 UNGCMBC makes no representations or warranties that the Tool will satisfy your specific requirements, be compatible with your systems, be reliable, accurate, up-to-date or complete, remain continuously available, operate without interruption, be secure, or be free from errors. UNGCMBC disclaims all liability for any unauthorized access to or use of your content by third parties.

5.5 This tool is AI-assisted. Disclosure records are compiled from published issuer reports using automated extraction and may contain errors, omissions or misclassification. Figures are reproduced as reported and have not been independently audited, verified or normalised by UN Global Compact Network Malaysia, Brunei and Cambodia.

5.6 This tool is provided for information and discussion purposes only. It does not constitute investment, legal, accounting or regulatory advice. Any figure should be verified against the issuer's source report before being relied upon, cited externally, or used in a commercial, regulatory or investment decision. UN Global Compact Network Malaysia, Brunei and Cambodia accepts no liability for any loss or damage arising from use of, or reliance on, this tool.

6. Limitation of Liability

6.1 To the maximum extent permitted by applicable law, UNGCMBC shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the Tool.

6.2 You agree to indemnify and hold UNGCMBC harmless from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising out of or in connection with your use of the Tool or any violation of these Terms and Conditions.

6.3 UNGCMBC is under no obligation to indemnify, compensate, make good, or reimburse any party for any tangible or intangible losses, damages, or harms suffered resulting directly or indirectly from usage of the Tool.

6.4 You acknowledge and agree that the Tool is a disclosure preparation and benchmarking aid only. UNGCMBC does not offer financial, tax, accounting, legal, audit, assurance, or other professional advice through the Tool. The Tool does not constitute, and must not be relied upon as, an assurance opinion, legal opinion, or confirmation of compliance with IFRS S2, the NSRF, or any other law, regulation, or listing requirement. Any readiness indicators, generated summaries or reports, priority actions, and any other output of the Tool are indicative only, may not reflect your organisation's actual disclosure readiness, regulatory obligations, or comparative position, and are not a substitute for independent, Bursa-accredited assurance or professional legal, accounting, or regulatory advice. UNGCMBC bears no liability for any decision, disclosure, filing, financial statement, board resolution, investment, or other action taken or not taken by you, your organisation, or any third party in reliance on the Tool or its outputs. Your use of the Tool for these purposes is entirely at your own risk.

7. Modification, Suspension and Termination

7.1 UNGCMBC reserves the right to modify, suspend, terminate, or discontinue the Tool or any of its features, either temporarily or permanently, with or without notice, at its sole discretion.

7.2 UNGCMBC may also modify these Terms and Conditions at any time. Your continued use of the Tool after any modifications shall constitute your acceptance of the modified Terms and Conditions.

7.3 UNGCMBC may, at its sole discretion, introduce additional tools, modules, or features to the Tool over time, whether as part of your existing access or as separately identified additions.

7.4 The Tool is currently provided to registered users free of charge. UNGCMBC reserves the right to introduce fees for continued or expanded access to the Tool, including for existing features, new modules, or premium tiers, at any time in the future. UNGCMBC will provide reasonable advance notice before any such fees take effect for existing users, who will have the opportunity to export their data (see clause 3.7) before any change in access takes effect.

8. Governing Law and Jurisdiction

8.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia.

8.2 Dispute Resolution

8.2.1 In the event of any dispute or claim arising out of or relating to these Terms and Conditions or your use of the Tool, you agree to first attempt to resolve the matter informally by contacting UNGCMBC's support team.

8.2.2 If the dispute cannot be resolved informally, the parties agree to explore alternative dispute resolution mechanisms, such as mediation or arbitration, before pursuing litigation.

8.3 Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Malaysia.

9. Severability

9.1 In the event any provision contained herein becomes illegal, void, invalid, prohibited, or unenforceable in any respect, the same shall be ineffective to the extent of such invalidity, prohibition, or unenforceability, without invalidating in any manner whatsoever the remaining provisions herein. The remaining provisions will remain in full force and effect to the maximum extent possible.

10. Integration

10.1 These Terms and Conditions, as modified from time to time, constitute the entire agreement between you and UNGCMBC regarding the Tool. These Terms and Conditions replace in their entirety and supersede, whether verbal or written, any and all previous proposals, negotiations, writings, and other communications between you and UNGCMBC relating to the Tool. These provisions may not be waived, modified, or limited by any statements, implied or direct, by any third party, employee, or representative of UNGCMBC. UNGCMBC expressly disclaims any authority by any other person or entity to waive, modify, or limit these provisions.

10.2 You are advised to review these Terms and Conditions periodically for any changes. Changes are effective when they are posted.

11. Consent to Electronic Form of Contract

11.1 By accessing and using the Tool, you acknowledge and consent to the electronic form of these Terms and Conditions, including the provision of notice in electronic form. You agree that these provisions, in printed or electronic form, shall be admissible in judicial or arbitration proceedings, to the same extent and subject to the same conditions as other documents and records generated and maintained in written form. Your consent to electronic form extends to all written notices sent by UNGCMBC.

12. Waiver

12.1 The waiver of any breach or default of obligations under these provisions will not constitute a waiver of any subsequent breach or default and will not act to amend or negate the rights of the waiving party.

13. Survival

13.1 The provisions herein dealing directly or indirectly with intellectual property, disclaimers of warranties, limitation of liability, compliance with laws and regulations, security, dispute resolution, and use restrictions and prohibitions shall continue to apply and shall survive the termination or expiration of any relationship between you and UNGCMBC.

By using the Tool, you agree to these Terms and Conditions. If you do not agree, please refrain from using the Tool.
